Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and ONWARD AUDIO LLC, a Texas limited liability company (“Onward Audio,” “we,” “us,” or “our”), governing your access to and use of the Onward Audio website, The Perfectionist, the Perfectionist Satellite Audio Unit, and related software, APIs, and content (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and account

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us promptly at privacy@onwardaudio.com if you suspect unauthorized access.

2. The Services

The Services include (a) The Perfectionist console for mix consultation and signal-chain reasoning, (b) the Perfectionist Satellite Audio Unit for Logic Pro, which posts compact measurement telemetry to our API, and (c) related pages and APIs on www.onwardaudio.com. The Perfectionist uses third-party large language models. Output is generated and may contain errors. The Services are decision-support tools and not a substitute for your own engineering judgment.

3. Plans, subscriptions, and top-ups

Paid plans are billed monthly in advance through Stripe. Token budgets, response limits, and feature gates for each tier are described on the Pricing page and may change with notice. Subscriptions auto-renew until you cancel through the Stripe customer portal accessible from your account. One-time top-up packs are non-refundable and expire 60 days after purchase. Token budgets reset on the first day of each calendar month at 00:00 UTC.

Except where required by law, payments are non-refundable. If you believe you were billed in error, contact privacy@onwardaudio.com within 30 days of the charge.

4. Perfectionist Satellite license

Subject to your active subscription on an eligible plan (Engineer or above), Onward Audio grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Perfectionist Satellite Audio Unit on Mac computers you own or control, solely to send measurement telemetry to your Onward Audio account. The current beta of the Satellite is provided to you Developer ID signed and Apple-notarized; you accept the security implications described in the bundled SECURITY-NOTE.md and on your account page.

You agree not to: (a) redistribute, resell, mirror, or repackage the Satellite installer; (b) reverse engineer, decompile, or extract its source except as expressly permitted by law; (c) circumvent the tier-gating, rate-limiting, or payload-size protections of the telemetry API; or (d) use the Satellite to submit fabricated or attacker-controlled telemetry.

5. Acceptable use

You agree not to use the Services to:

  • violate any law or the rights of any person;
  • upload material you do not have the right to use;
  • attempt to extract our system prompts, internal knowledge base, or proprietary mix-consultation methodology;
  • resell, white-label, or operate the Services for the benefit of a third party without a separate written agreement with us;
  • introduce malware, attempt unauthorized access, or interfere with the integrity or performance of the Services;
  • circumvent token budgets, rate limits, or tier gates, including by creating multiple accounts to extend free usage; or
  • use the Services to generate content that infringes intellectual property, defames any person, or facilitates harm.

6. Your content

You retain all rights in the prompts, notes, audio bounces, and other content you submit through the Services (“Your Content”). You grant Onward Audio a worldwide, non-exclusive, royalty-free license to host, process, and display Your Content solely to operate the Services for you. You are responsible for ensuring you have the right to submit Your Content.

Output generated by The Perfectionist in response to Your Content is provided to you. To the extent we have any rights in such output, we assign them to you, subject to our retained rights in the Services themselves (see Section 7). You acknowledge that, due to the nature of language models, similar output may be generated for other users from similar prompts.

7. Our intellectual property and marks

The Services, including the software, documentation, knowledge base, and design, are owned by Onward Audio and protected by intellectual property law. Except for the rights expressly granted to you in these Terms, no rights are transferred.

ONWARD AUDIO and The Perfectionist are service marks of ONWARD AUDIO LLC. You may not use these marks without our prior written permission, except for nominative or fair reference (for example, describing that you use the Services). All other trademarks belong to their respective owners.

8. Third-party services

The Services rely on third-party providers, including Supabase, Vercel, Stripe, Anthropic, and (optionally) Google sign-in. Your use of those providers is also governed by their terms. We are not responsible for the acts or omissions of third-party services.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, error-free, or that the output of The Perfectionist will be accurate or suitable for any particular session, mix, or master.

10. Limitation of liability

To the maximum extent permitted by applicable law, Onward Audio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with the Services. Our aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) one hundred U.S. dollars (US$100) or (b) the amount you paid to us for the Services in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You will defend, indemnify, and hold harmless Onward Audio and its officers, members, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) Your Content, or (c) your violation of these Terms.

12. Termination

You may cancel your subscription at any time through the Stripe customer portal; access to paid features ends at the close of the current billing period. We may suspend or terminate your access immediately for breach of these Terms, suspected fraud, or to protect the security or integrity of the Services. Sections 5–11, 14, and 15 survive termination.

13. Changes to the Services or Terms

We may change the Services or these Terms from time to time. Material changes to the Terms will be announced on the Services or by email at least 14 days before they take effect, except where a shorter notice period is required by law. Continued use of the Services after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The state and federal courts located in Travis County, Texas have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. You waive any objection to venue in those courts.

15. General

These Terms, together with the Privacy Policy and Cookies Notice, are the entire agreement between you and Onward Audio regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us must be sent to privacy@onwardaudio.com.
